12.2. Any dispute arising under this Agreement including but not limited to the existence,
interpretation, interpretation, performance, effectiveness and termination of this Agreement shall be submitted to the International Court of Arbitration of the International Chamber of Commerce and shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce in Zurich, Switzerland. The arbitral award is final and binding upon the Parties. The arbitration tribunal shall be made up by three (3) arbitrators; the arbitration language shall be English. For the avoidance of any doubt, the Parties shall be entitled to request for temporary remedies before the competent court.
凡因本协议引起的任何争议，包括但不限于本协议的存在、解释、履行、效力和终止等问题，应提交国际商会仲裁院，并根据国际商会仲裁规则在瑞士苏黎世最终解决。仲裁裁决是终局的，对各方均有约束力。仲裁庭由3位仲裁员组成，仲裁语言为英文。为避免疑义，各方有权向有管辖权之法院请求临时救济。 12.3. When any Dispute occurs and is the subject of friendly consultations or arbitration, the
Parties shall continue to exercise their remaining respective rights and fulfil their remaining respective obligations under this Agreement, except in respect of those matters under Dispute.
当某一争议发生并且正在通过友好协商或仲裁解决时，各方应继续行使其各自在本协议项下的其他权利，同时继续履行其各自在本协议项下的其他义务，但与争议事项有关的权利和义务除外。
13. MISCELLANEOUS 第十三条 其他条款
13.1. Each Party shall bear any expenses arising out of performance of this Agreement incurred
by its personnel, including without limitation, travel, accommodation, delivery of any items, data, tapes, CDs, drawing and other materials to the other Parities. However, each Party agrees to at its own cost provide the personnel designated by the other Parties with necessary working and office support, reasonable office consumption.
各方应承担自己员工为履行本协议而发生的一切费用，包括但不限于差旅费、住宿费和在交付任何物品，数据，磁带，光盘，图纸以及其它资料到其他方所发生的全部费用支出。但任何一方同意免费提供其他方所指定的人员在该方的必要的工作和办公支持、合理的办公消耗费用。 13.2. Unless the terms of this Agreement otherwise provide, this Agreement may not be assigned
in whole or in part by any Party without the prior written consent of the other Parties hereto. 除非本协议另有规定，非经其他方事先书面同意，一方不得全部或部分转让本协议。 13.3. This Agreement shall be binding upon and shall inure to the benefit of the Parties and their
respective permitted successors and assigns. No provision of this Agreement may be amended or modified except in a writing instrument signed by the Parties.

本协议为各方及其合法承继人和受让人的利益而签订，对其均有约束力。本协议不得以口头形式变更，而应由各方同意并签署书面文件方能生效。
13.4. Unless the term of the Contract otherwise provide, the invalidity of any provision of this
Agreement shall not affect the validity of any other provision of this Agreement.
本协议任一条款的无效，除有本协议另有约定外，不得影响本协议其他条款的效力。 13.5. This Agreement may be signed in six (6) counterparts, and shall be signed in Chinese and
English versions. In case of any conflict between these two versions, the English version shall prevail. This Agreement and the Appendices hereto constitute the entire agreement between the Parties hereto with respect to the subject matter of this Agreement and prevail over all prior discussions, negotiations and agreements between them. However, the Appendices shall have the same force and effect as this Agreement.
本协议一式六份，以中英文书就。中英文之间若有抵触，应以英文为准。本协议及其附件构成各方就本协议主题达成的一份整体协议，其效力高于此前的讨论、谈判和协议。但本协议附件与合同具有同等法律效力。
