“Subject Assets” means the assets and Intellectual Property Rights Owned by the Company as set forth in Appendix A.

Any capitalized terms used in any Schedule or Exhibit but not otherwise defined therein shall be defined as set forth in this Agreement.

Including. The word “including” or any variation thereof means (unless the context of its usage otherwise requires) “including, without limitation” and shall not be construed to limit any general statement that it follows to the specific or similar items or matters immediately following it.

The Parties have participated jointly in the negotiation and drafting of this Agreement and, in the event an ambiguity or question of intent or interpretation arises, this Agreement shall be construed as jointly drafted by the Parties and no presumption or burden of proof shall arise favoring or disfavoring any Party by virtue of the authorship of any provision of this Agreement.

2. SALE AND PURCHASE OF SHARES

2.1. Sale and Purchase of Shares. Subject to the terms contained herein, on the Effective Date,

Seller agrees to sell to Buyer, and Buyer agrees to purchase from Seller, 50% of Seller’s all equity interests in the Company (the “Subject Shares”).

股权出售和收购。根据本协议包含之条款，在生效日，卖方同意向买方出售、买方同意向卖方收购买方在公司中所有股权权益的50%（“标的股权”）。 2.2. Purchase Price. In consideration of the sale and transfer of the Subject Shares, Buyer shall

pay to Seller, in accordance with the provisions of this Agreement, an amount equal to [EUR 85,000,000] (SAY Eight-five Million Euros Only) (the “Purchase Price”), payable in the following amounts on the corresponding dates set forth below:

2.4. [Subject to satisfactions of all the following conditions,] Buyer shall pay Seller an amount

equal to EUR 30,000,000 (SAY Thirty Thousand Euros) within [**] days (the “Second Payment”):

(a) The prototype and production equipment of Dart-450 will be flown to China in August

3. COMPANY BUSINESS AND LIMITATIONS ON SHARES

3.1. Company Business. As from the Effective Date, the business scope of the Company shall

be limited to research and development of Dart-450, provision of technical consultancy,

technical services, technical training and technology license for Dart-450. Without unanimous consent of the Parties, the Company shall not engage in any business beyond the aforesaid business scope.

公司业务。自生效日起，公司的业务范围仅限于Dart-450的研发、为Dart-450提供技术咨询、技术服务、技术培训和技术许可。未经各方一致同意，公司不得从事前述业务范围以外的其他业务。

3.2. The Parties agree that, Buyer and Seller shall be entitled to establish a complete system in

production, sales and service respectively

各方同意，买方和卖方均有权利用标的资产各自建立一整套生产、销售和服务体系。 3.3. After consummation of the research and development of Dart-450, the Company shall be

entitled to receive [**] per produced aircraft as technology license fees, a; Buyer and Sell（seller？） shall pay the technology license fees based on the number of aircrafts produced by themselves respectively.

Seller may assign, sell or otherwise dispose of all or part of its equity interest in the Company to a third party.

4. REPRESENTATIONS AND WARRANTIES OF THE PARTIES

4.1. Except as set forth herein, and as an inducement to Buyer to execute this Agreement, Seller

and the Company hereby represents and warrants to Buyer the truth and accuracy of each of the matters set forth in this Article 3, as follows:

(a) The registered capital of the Company shall be [**]. Seller solely owns all of the

equity interests of the Company. All of the shares in the Company have been duly authorized, are validly issued, fully paid and non-assessable.

卖方对股权拥有良好和有效的权利，不存在任何留置权。 (d) Neither the execution or delivery by Seller of this Agreement nor the consummation

of the sale of the Subject Shares does or will (with or without the passage of time or giving of notice): (i) constitute a breach of or violate or give rise to or create any right or obligation under the Organizational Documents of the Company; (ii) violate any applicable Law or Order; or (iii) constitute a breach or violation of or a default under or give rise to or create any right of any Person in a manner materially adverse to the Company or result in the creation of any Lien on the Company.

卖方签订或者发布本协议或者股权出售的完成均不或者不会（无论是否经过时间流逝或者发出通知）：（1）构成对公司的组织文件中的权利或者义务的违约、触犯，或者引发或产生了此等权利或者义务；（2）违反任何相关法律或者命令；（3）构成对公司为一方当事人或者公司的任何财产被其约束的任何合同的违背、违反或者违约，或者授予任何人士对公司构成重大不利或者导致对公司产生留置权的任何权利。（？可否改成：构成不利公司或者违反公司的利益行为，或者将会给予任何人士对公司重大不利的实质性权利或产生任何留置权的权利。） (e) The execution, delivery and performance of this Agreement by Seller does not require

free and clear of any and all Liens and other rights of third parties. No other Persons own or have any ownership or equity interest in, including a right of first refusal or a right of first offer, or have any Lien on any Subject Assets relating to, associated with or concerning the Company.

公司对于所有标的资产都具有良好且有效的所有权。所有标的资产均不受任何留置权和其他第三方权利的限制。不存在其他人士拥有公司或对其享有所有权或同等权益（包括优先购买权或优先要约权），或者对于与公司相关的任何标的资产拥有任何留置权。
